4. Payment Terms

Invoices are due within 15 days unless otherwise specified
Late payments may incur a 1.5% monthly interest charge
We may suspend services for non-payment

Your Materials

You retain rights to materials you provide to us.

Project Deliverables

Unless stated otherwise in your service agreement:

You receive ownership of custom code created specifically for you upon full payment
We retain rights to pre-existing frameworks and tools
Third-party components are subject to their respective licenses

6. Confidentiality

Both parties agree to protect confidential information shared during our business relationship. This includes business strategies, technical specifications, financial information, and proprietary methodologies.

7. Warranties and Disclaimers

We warrant that our services will be performed professionally and will substantially conform to agreed specifications.EXCEPT AS EXPRESSLY STATED, OUR SERVICES ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE ARE NOT LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
These limitations don’t apply to liabilities that cannot be excluded by law

9. Service Termination

Either party may terminate services:

With 30 days’ written notice
Immediately for material breach not cured within 30 days of written notice
Immediately for non-payment of undisputed amounts

Upon termination, you must pay for services rendered, and both parties must return confidential information.

10. Dispute Resolution

We’ll attempt to resolve disputes through good-faith negotiation
Unresolved disputes will be settled by binding arbitration in Panipat, Haryana, India
Arbitration will be conducted in English under the Indian Arbitration and Conciliation Act, 1996

11. Governing Law

These Terms are governed by the laws of India without regard to conflict of law principles.

12. Changes to These Terms

We may update these Terms. We’ll notify you of material changes via email or website notice. Your continued use of our services after such changes constitutes acceptance of the updated Terms.

13. Force Majeure

Neither party is liable for failures caused by circumstances beyond reasonable control, including natural disasters, war, government actions, or service provider failures.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

15. Entire Agreement

These Terms, along with our Privacy Policy, Refund Policy, and any service agreements, constitute the entire agreement between us regarding our services.
